Terms of Service
The conditions that govern your use of the ADID app, web portal, and website.
These Terms of Service (“Terms”) govern your access to and use of the ADID mobile application, the ADID clinician portal at clinician.adid.app, and the website at adid.app (collectively, the “Services”), provided by ADID (“ADID,” “we,” “us,” or “our”). By using the Services, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an ADID account on your own behalf. If you are accessing the Services on behalf of someone else (for example, as a parent, legal guardian, or authorized caregiver), you represent that you have the legal authority to do so.
2. Account registration and security
To use most features of the Services you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at security@adid.app if you suspect unauthorized access.
3. Acceptable use
You agree not to:
- Use the Services for any unlawful purpose, or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to any account, system, or network associated with the Services.
- Reverse engineer, decompile, or attempt to derive source code from the App or Services, except where such restriction is prohibited by law.
- Interfere with, disrupt, or impose an unreasonable load on the Services or the infrastructure that supports them.
- Use the Services to transmit malicious code, harassing content, or content that infringes the rights of others.
- Misrepresent your identity, your relationship to another person, or your authority to access another person’s data.
4. Health information and clinical use
ADID supports continuous physiologic monitoring and provides structured datasets for review. The Services do not provide medical advice, diagnostic conclusions, or treatment recommendations. Any decisions about your care must be made by you in consultation with qualified healthcare professionals. You acknowledge that:
- Sensor data may be delayed, incomplete, or inaccurate due to device, network, or environmental factors.
- The Services should not be relied on as a sole source of information for medical decisions or emergencies.
- You are responsible for ensuring you have functional wearable devices, charged batteries, and adequate network connectivity for monitoring to continue.
5. Devices and third-party services
The Services may interact with third-party devices, operating systems, app stores, and services. ADID is not responsible for the availability, accuracy, or reliability of those third parties, or for any changes they make to their products. Your use of third-party products is subject to their respective terms and privacy policies.
6. Intellectual property
ADID and its licensors retain all right, title, and interest in and to the Services, including all software, content, designs, trademarks, and other intellectual property. Subject to your compliance with these Terms, ADID grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use. You retain ownership of any data you submit through the Services, and you grant ADID a license to use that data solely as needed to operate the Services and as described in the Privacy Policy.
7. Pilot programs and beta features
Certain features may be offered as pilot programs, evaluations, or beta releases. Such features are provided “as is,” may change or be discontinued at any time, and may have additional terms communicated at enrollment. Participation in a pilot program does not establish a clinical relationship with ADID.
8. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. ADID does not warrant that the Services will be error-free or that defects will be corrected.
9. Limitation of liability
To the maximum extent permitted by applicable law, ADID and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Services, even if ADID has been advised of the possibility of such damages. ADID’s aggregate liability for any claim arising out of or relating to the Services will not exceed the greater of the amount you paid to ADID in the twelve months preceding the claim, or one hundred US dollars (USD $100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless ADID and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another.
11. Termination
You may stop using the Services at any time and may request account deletion as described on our Account & Data Deletion page. ADID may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or for any other lawful reason. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnification.
12. Changes to the Services or Terms
We may modify the Services and these Terms from time to time. If we make material changes, we will revise the “Last updated” date and, where appropriate, provide notice through the App or by email. Your continued use of the Services after a change becomes effective constitutes acceptance of the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of those courts. Nothing in these Terms limits any non-waivable rights you have under the laws of your country of residence.
